By accessing or using the websites operated by Mission Impact Partners Ltd., doing business as Mission Impact Partners, Data Mission, "MIP," "we," "us," or "our," you agree to be bound by these Website Terms of Use ("Terms"). These Terms apply to the websites located at https://missionimpact.partners and https://datamission.io (collectively, the "Websites"). These Terms are to be read together with MIP's Privacy Policy located at https://missionimpact.partners/privacy-policy or https://datamission.io/privacy-policy ("Privacy Policy"), which is incorporated into and forms a part of these Terms. If you do not agree with these Terms, you must not access or use the Websites.

1. Acceptance of Terms

By accessing or using the Websites, you represent that you have read, understood, and agree to be bound by these Terms. If you are accessing or using the Websites on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and the term "you" shall include such organization.

2. Use of the Websites

MIP grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Websites for lawful purposes in accordance with these Terms. You agree not to:

  1. use the Websites in any manner that violates any applicable law or regulation;
  2. use the Websites to transmit any material that is defamatory, offensive, harassing, fraudulent, or otherwise objectionable;
  3. attempt to gain unauthorized access to any portion of the Websites, other accounts, computer systems, or networks connected to the Websites;
  4. use any automated means, including bots, scrapers, or spiders, to access the Websites or collect information from the Websites without MIP's prior written consent;
  5. interfere with or disrupt the operation of the Websites or the servers or networks used to make the Websites available;
  6. reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying technology of the Websites;
  7. remove, obscure, or alter any proprietary notices or labels on the Websites; or
  8. use the Websites in any manner that could damage, disable, overburden, or impair the Websites.

3. Intellectual Property

MIP and its licensors own all right, title, and interest in and to the Websites, including all content, features, functionality, text, graphics, logos, icons, images, audio, video, software, and other materials displayed on or available through the Websites (collectively, "Content"), and all intellectual property rights therein. The Content is protected by applicable patent, copyright, trademark, and trade secret laws. Except as expressly permitted in these Terms, you may not copy, reproduce, modify, distribute, display, perform, create derivative works from, or otherwise use any Content without MIP's prior written consent.

4. Trademarks

"Mission Impact Partners," "Data Mission," "MIP," and related logos and names are trademarks or service marks of Mission Impact Partners Ltd. You may not use these marks without MIP's prior written permission. All other trademarks, service marks, and logos displayed on the Websites are the property of their respective owners.

5. Third-Party Links and Content

The Websites may contain links to third-party websites, services, or content that are not owned or controlled by MIP. MIP has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that MIP shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party content, goods, or services available on or through any such websites or services.

6. Embedded Third-Party Content

The Websites may contain embedded content from third-party services, including but not limited to YouTube videos, social media widgets, and other interactive media ("Embedded Content"). When you interact with or view Embedded Content, the third-party provider may:

  1. set cookies or similar tracking technologies on your device;
  2. collect information about your device, browser, IP address, and viewing behavior;
  3. link this information to your account with the third-party service if you are logged in; and
  4. use this information in accordance with their own privacy policies.

MIP has no control over, and assumes no responsibility for, the data collection and privacy practices of third-party providers of Embedded Content. The use of cookies and tracking technologies by these third parties is governed by their respective privacy policies, not MIP's Privacy Policy.

For example, YouTube videos embedded on the Websites are subject to Google's Privacy Policy, available at https://policies.google.com/privacy.

By viewing or interacting with Embedded Content, you acknowledge that third-party providers may collect information about you as described above, and you consent to such collection. If you do not wish to be tracked by third-party providers, you should not interact with Embedded Content and may configure your browser to block third-party cookies.

7. User Submissions

If you submit any information, feedback, suggestions, ideas, or other materials to MIP through the Websites or by any other means ("Submissions"), you grant MIP a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Submissions in any media. You represent and warrant that:

  1. you own or have the necessary rights to submit such Submissions; and
  2. your Submissions do not violate the rights of any third party.

8. Contact Forms and Inquiries

When you submit inquiries, contact forms, or support requests through the Websites, you acknowledge that MIP may use artificial intelligence ("AI") systems, including third-party AI services such as OpenAI's ChatGPT or Anthropic's Claude, to assist in reviewing and responding to your inquiries. You should avoid including sensitive personal information, passwords, or confidential business data in such submissions unless absolutely necessary.

9. Privacy

Your use of the Websites is subject to MIP's Privacy Policy, which describes how MIP collects, uses, and discloses information about you. By using the Websites, you consent to MIP's collection, use, and disclosure of information as described in the Privacy Policy. 10. Disclaimer of Warranties

THE WEBSITES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MIP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

MIP DOES NOT WARRANT THAT THE WEBSITES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. MIP DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT AVAILABLE ON OR THROUGH THE WEBSITES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MIP OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE WEBSITES, EVEN IF MIP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIP'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITES SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless MIP and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Websites; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any rights of any third party.

13. Modifications to Terms

MIP reserves the right to modify these Terms at any time. If MIP makes material changes to these Terms, MIP will update the "Effective" date at the top of these Terms. Your continued use of the Websites after any such changes constitutes your acceptance of the modified Terms. You are responsible for reviewing these Terms periodically to stay informed of any updates.

14. Modifications to Websites

MIP reserves the right to modify, suspend, or discontinue the Websites (or any part thereof) at any time, with or without notice. MIP shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Websites.

15. Termination

MIP may terminate or suspend your access to the Websites at any time, with or without cause, with or without notice. Upon termination, your right to use the Websites will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 3 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), and 17 (General Provisions).

16. Export Compliance

The Websites and related content may be subject to export control laws of Canada, the United States, and other countries. You shall not access or use the Websites in violation of any applicable export or import laws. You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive trade sanctions.

17. General Provisions

(a) Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles. All disputes arising out of or in connection with these Terms shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules at a location decided by MIP. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

(b) Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and MIP with respect to your use of the Websites and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and MIP.

(c) Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, the validity, legality, and enforceability of the remaining provisions are not affected or impaired.

(d) Waiver

A waiver by MIP of any breach of any provision of these Terms will not be construed as a waiver of any continuing or succeeding breach.

(e) Assignment

You may not assign these Terms or any of your rights or obligations hereunder without MIP's prior written consent. MIP may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets.

(f) No Agency

These Terms do not create an agency, partnership, joint venture, or employment relationship between you and MIP.

(g) Force Majeure

MIP shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

(h) Headings

The headings used in these Terms are for convenience and reference only and shall not affect interpretation.

(i) Language

The parties have expressly requested that these Terms and all related documents be drafted in English.

18. Communication Language

Deutsch: Jegliche Kommunikation bezüglich dieser Nutzungsbedingungen, der Datenschutzrichtlinie oder damit zusammenhängender Angelegenheiten erfolgt ausschließlich in englischer Sprache. MIP ist nicht verpflichtet, auf Mitteilungen in anderen Sprachen als Englisch zu antworten oder Übersetzungen bereitzustellen.

English: All communications regarding these Terms, the Privacy Policy, or any related matters shall be conducted exclusively in English. MIP is not obligated to respond to or provide translations of any communications in languages other than English.

Español: Todas las comunicaciones relacionadas con estos Términos, la Política de Privacidad o cualquier asunto asociado deberán llevarse a cabo exclusivamente en inglés. MIP no está obligada a responder ni a proporcionar traducciones de ninguna comunicación en idiomas distintos del inglés.

Français: Toutes les communications concernant les présentes Conditions, la Politique de confidentialité ou toute question connexe seront menées exclusivement en anglais. MIP n'est pas tenu de répondre ou de fournir des traductions de toute communication dans des langues autres que l'anglais.
